Interim M&A Consultant – Exit Support (Private Equity Portfolio Company)
Duration: 12-month engagement (activity expected to peak at the start and end of the process; potential extension)

Purpose of the Role
An experienced interim finance professional is required to support a Private Equity-backed portfolio company through the preparation and execution of a sale process.
The role will focus on ensuring the business presents high-quality, accurate, and well-structured financial and operational information to potential buyers and advisors. Key responsibilities include data preparation, virtual data room management, and coordination of financial inputs into the Information Memorandum (IM) and due diligence processes.
This role requires strong transaction experience, excellent attention to detail, and the ability to operate effectively in a confidential, fast-paced environment.
Role Overview
Working closely with the CFO and transaction advisors, the consultant will play a central role in preparing the business for market and supporting the sale process through to completion.
Responsibilities will include organising and maintaining the virtual data room, ensuring financial information is accurate and reconciled, coordinating responses to financial and legal due diligence queries, and supporting the development of materials used in the marketing of the business.
The consultant will act as a key internal coordinator between management and external advisors to ensure the transaction process runs efficiently.
Key Responsibilities
The consultant will:
- Support the design and build of a well-structured, buyer-ready virtual data room in collaboration with transaction advisors
- Manage the preparation and delivery of clean, reconciled historical financial information (typically 3–5 years)
- Produce clear bridges between statutory accounts and management accounts
- Source and organise detailed monthly trading data including margin analysis
- Prepare quality of earnings–ready schedules, including identification and explanation of adjusting items
- Act as the central point of contact for data room management, including access controls, document uploads, and permissions
- Coordinate and track buyer and advisor Q&A activity, ensuring queries are addressed accurately and promptly
Financial Analysis & Transaction Materials
The consultant will support preparation of the financial materials used in the sale process, including:
- Core financial schedules and analysis supporting the Information Memorandum (IM)
- Historical financial analysis and KPI packs for potential buyers
- Supporting documentation for financial due diligence (FDD) and legal due diligence (LDD)
- Reconciliation of key performance metrics used across transaction materials
Performance Narrative & Business Drivers
A key element of the role will be ensuring that the financial story of the business is clearly articulated and supported by robust analysis.
This includes developing a strong narrative around:
- Gross margin dynamics and operational drivers
- Cost structure and operating leverage
- One-off items, normalisations, and EBITDA adjustments
- Key trends in performance and underlying growth drivers
The consultant will support management and advisors throughout the diligence process by:
- Supporting management in preparing documentation and analysis requested by buyers
- Ensuring consistency between the data room, management presentations, and IM materials
- Maintaining a structured log of diligence requests and responses
Candidate Profile
Experience
- Proven experience supporting M&A transactions, ideally within Private Equity-backed environments
- Background in transaction services, corporate finance, or senior finance roles in industry
- Strong experience preparing businesses for sale or supporting due diligence processes
