Duties and Responsibilities
- Act as the appointed Company Secretary to nominated investment trust companies.
- Attend board and board committee meetings, take minutes and produce action notes.
- Provide agendas, supporting schedules and reports.
- Coordinate the production of annual reports and half‑yearly updates to shareholders.
- Liaise with investment, sales, marketing and accounting departments to ensure board reports are produced in a timely fashion.
- Maintain statutory records and submit returns to the Registrar of Companies.
- Maintain risk maps for each investment trust client.
- Liaise with the Registrar and monitor the services of the Depositary/Custodian with the Operations team.
- Draft and approve stock exchange announcements.
- Review and monitor the website to ensure trust information is correct and up to date.
- Deal with requests from the Chairman or other directors.
- Ensure registrations and reporting under FATCA, CRS, AIFMD and Data Protection are up to date and submitted on time.
- Keep the departmental forward work schedule updated for nominated investment trust companies.
- Stay informed about changes to company secretarial practice and ensure compliance.
- Develop a clear understanding of the portfolio, strategy and ambitions of the trusts and keep senior secretaries abreast of developments.
- Act as a client service officer for board concerns, liaise with the Head of Investment Trusts and facilitate resolution of issues.
- Be an effective team player and collaborator, developing good working relationships internally and externally.
- Assist in training Company Secretarial Assistants to ensure correct procedures are followed.
- Act as an ambassador for Janus Henderson at all times.
- Carry out additional duties as assigned.

Nice to Have Skills
- Previous company secretarial experience.
- Understanding of Companies Act 2006, private company secretarial practice, UK Listing, Prospectus Regulation and FCA Disclosure Guidance & Transparency Rules.
- Knowledge of other relevant regulatory/statutory requirements (GDPR, FATCA, CRS, etc.).
- Knowledge of GEMS (useful but not essential).
Qualification Requirements
- Must hold a Chartered Secretary or Governance Professional qualification (passed examinations of the Institute of Chartered Secretaries and Administrators or equivalent UK qualification).
- Essential experience with Microsoft Office, Excel and Outlook.
