Join us as an Investment Banking Lawyer at Barclays, where you will provide senior legal support as part of the Investment Banking Legal team serving the EMEA region with a particular focus on our High Yield, Leveraged Finance, DCM and Strategic/Alternative Capital businesses. You will join colleagues providing legal and regulatory advice on a variety of transactional and non-transactional matters. We are keen to hear from you if you have experience in 144A/Reg S high yield bond offerings, liability management and/or leveraged financings such as senior secured term and revolving facilities, new LBO financings, refinancings, dividend recaps, PIK loans, unitranche financings and private placements.
To be successful as an Investment Banking Legal, EMEA (high yield / leveraged finance) VP, you should have:
- Qualified lawyer in the UK, US or other common law jurisdiction (other jurisdictions may be considered too)
- Strong high yield/leveraged finance experience gained in private practice and/or in‑house at a financial institution. Experience working for underwriters of high yield bonds is particularly advantageous.
- Excellent interpersonal and communication skills, with an ability to share knowledge proactively
- Previous experience working effectively in a fast‑paced, complex and multi‑dimensional environment

Purpose of the role
To ensure that activities of the investment banking division are conducted in compliance with applicable laws, rules and regulations, and to help the bank manage legal and reputational risks associated with these activities.
Accountabilities
- Development and implementation of best practice legal strategies to manage risk related to non‑adherence to laws, rules and regulations.
- Legal advice and support to the bank's investment banking division on legal matters including mergers and acquisitions, securities offerings, lending and other corporate finance transactions.
- Subject matter support in the Legal department’s representation of the bank in legal proceedings related to investment banking activities, such as litigation, arbitration and regulatory investigations.
- Creation and/or review of legal documents for the investment banking division to ensure compliance with applicable laws, rules and regulations. Maintaining and updating form legal documentation for the investment banking division.
- Legal research and analysis to stay up to date on changes in laws, rules and regulations that may impact the bank's investment banking activities.
- Developing and delivering training programmes to educate employees on legal and regulatory requirements related to the investment banking activities.
- Act as legal advisor to the Investment banking transaction approval committees on laws, rules and regulations.
- Pro‑active identification, communication and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with changes to LRRs in the relevant coverage area. Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.
